LifeAct Terms and Conditions

These terms and conditions are based on the premise that the parties involved must collaborate based on trust and goodwill.

LifeAct is located at: Van Ginkelstraat 20, 4388 NP OostSouburg, the Netherlands, and are registered with the Chamber of Commerce in Middelburg. When we refer to the contractor, that's us: LifeAct, and the client, that's you: the person who awards us a great assignment. We ensure that you receive excellent training, coaching, and/or advice. You are the one who purchases these services from us. We both agree on this.

As the contractor, we provide knowledge transfer, coaching, and sound advice. If this needs to be done on-site, you arrange it,
and the associated investment is your responsibility. I'm also happy to travel to your location and stay overnight if necessary; you make this investment possible.

For training/workshop assignments, 50% is paid at the start of the agreement, and the remaining 50% is paid after the last training day. For coaching programs, the full amount is paid at the start of the program.

If something unexpected happens and there are more than 30 days between the two, you pay €250.00 for the effort expended up to that point. If there are between 5 and 30 days, you pay 50% of the agreed-upon investment. If there are fewer than 5 days, the full amount is paid. If possible, we will see if the program can still start within two months. If this is not possible, a new agreement will apply.

It's also possible that we might find ourselves in such a situation due to force majeure. In that case, we reserve the right to cancel, modify, reschedule (in time and location), or suspend agreed-upon services until the circumstance causing the force majeure no longer exists. For customized coaching sessions canceled within 24 hours, a 50% fee will be charged.

For no-shows, the full amount will be charged, and the session cannot be rescheduled. I accommodate you in my scheduling, and I appreciate it if you do the same for me. If I'm unexpectedly unavailable, the appointment will always be rescheduled at no extra cost to you.

Then there's the matter of liability. We always assume there's no malicious intent or malice involved. However, it's helpful to be clear on a few points. We strive to perform the agreed-upon work to the best of our knowledge and ability, in accordance with the requirements of good workmanship. This obligation is a best-efforts obligation, as no guarantees are given regarding the result. We work with people; it is they themselves who are responsible for the final result. We always strive to get the best out of everyone and assume that this is also your starting point. You are responsible for the accuracy and completeness of any information and data you provide. We are not liable for any damage caused by incompleteness or inaccuracies in the information you provide.

We are only liable for damages directly resulting from a failure attributable to us in fulfilling the agreement, if and insofar as the damage could have been avoided with normal professional knowledge and experience and with due care and attention and professional practice. Our maximum liability is limited to the amount of the investment (excluding VAT) for the relevant assignment. If and insofar as the agreement is a continuing performance agreement, the attributable failure will in no case exceed the price agreed in the applicable agreement (excluding VAT) for our services in the period of one month preceding our failure. The amounts referred to in this point will be reduced by any credit agreed upon by the client and granted by us. Any right to compensation is always conditional upon you reporting the damage to us as soon as reasonably possible after its occurrence, but in any case within eight days of discovery.

If things get so out of hand that we can no longer reach an agreement, Dutch law applies. We have, of course, first tried everything to reach an amicable solution. If this doesn't lead to a satisfactory solution, we will go to the arbitration court.
